(“HI – CENTER ”, the “Company”, “us”, “our” or “we”) respect the privacy of its Site users (“User(s)” or “you”) and is committed to protect your personal information. We believe that you have a right to know our practices regarding the information we may collect and use about you when you use our website at https://www.hifund.co.il/ and its subdomains (the “Site”). Please read the following carefully to understand HI – CENTER ’s views and practices regarding your personal information and how HI – CENTER  will treat it. 

Capitalized terms which are not defined herein, shall have the meaning ascribed to them in our Terms of Use at https://www.hifund.co.il/terms-of-use/ (“TOU”), into which this Privacy Policy is incorporated by reference.

  • Your acknowledgment of this policy

This Privacy Policy (“Privacy Policy”) details how your Personal Information collected via the Site and/or the Hub is used and processed by HI – CENTER . 

BY ENTERING, CONNECTING TO, ACCESSING OR USING THE SITE AND/OR THE HUB, YOU ACKNOWLEDGE THAT YOU ARE OR HAVE HAD THE OPPORTUNITY TO BECOME AWARE OF AND AGREE (IN JURISDICTION WHERE SUCH CONSENT IS REQUIRED) TO THIS PRIVACY POLICY AND HI – CENTER ’S PRACTICES DESCRIBED THEREIN, INCLUDING THE PROCESSING (INCLUDING COLLECTING, USING, DISCLOSING, RETAINING OR DISPOSING) OF YOUR INFORMATION UNDER THE TERMS OF THIS POLICY. IF YOU DISAGREE TO ANY TERM PROVIDED HEREIN, YOU MAY NOT ACCESS OR USE THE SITE AND/OR THE HUB.

FOR AVOIDANCE OF DOUBT, YOU HEREBY CONSENT TO THE COLLECTION, PROCESSING, TRANSFER AND USE OF YOUR PERSONAL INFORMATION. YOU ALSO ACKNOWLEDGE AND CONFIRM THAT YOU ARE NOT REQUIRED TO PROVIDE US WITH YOUR PERSONAL INFORMATION AND THAT SUCH INFORMATION IS VOLUNTARILY PROVIDED TO US.

  • Which information may we collect about Users? 

We collect from Users of our Site and/or Hub, two types of data and information:

  1. Non-personal Information. The first type is non-identifiable and anonymous information. Non-personal Information, which is being gathered, consists of technical information and behavioral information that does not pertain to a specific individual (“Non-Personal Information”).

You may access and browse the Site and/or the Hub without disclosing personal information, although, like most websites, we passively collect certain Non-Personal Information from your devices, including: (i) technical information such as the type and version of your device and its operating system, the type of browser, screen resolution, device browser and keyboard language, Wi-Fi connectivity and the type and name of your device and/or browser, etc.; and (ii) behavioral information which may include the User’s click-stream on the Site/Hub, the activities of the User on the Site/Hub and additional information of a similar nature (collectively, “Technical and Behavioral Information”). We may also use third-party service providers, such as Google Analytics and/or similar services, to obtain detailed analytics on the device and the User’s behavior on the Site and Hub. Please note that we or our third-party service providers will collect such Technical and Behavioral Information by using certain tracking technologies, such as cookies, as further detailed below. 

  1. Personal Information. The other type of information we collect is individually identifiable information. To put it simply, this information identifies an individual or is of a private and/or sensitive nature, such as your contact information (“Personal Information”), including: name, email address, phone number.

    1. Personal Information which is provided voluntarily

  • Communications with HI – CENTER: Personal Information you provide us as part of any communications with HI – CENTER , by any means, including by contacting us via the Site or email, or through our social network pages.  
  • Contact Details: Personal Information is collected from the details you provide in the “Contact Us” tab available on the Site. Such Personal Information may include your full name and email address. Additional information may be requested via the contact form in the future. 
  • Account: Personal Information is collected from the details you provide in the Investor Form in order to open an Account, which includes, inter alia, your full name, phone number, email address, your investment preferences and amounts, etc. To this end, we may require additional information from time to time.
  • Our newsletter and other commercial materials: you may voluntarily provide us with your contact details in order to subscribe to our newsletter and to receive commercial materials from HI – CENTER and our partners.  
  • Other User Generated Content: When you use the Site and/or Hub and/or Services, you may upload, store, or share other User Generated Content that contains Personal Information about yourself or others, such as presentations, information and content uploaded via the Startup Form. Users bear sole responsibility for any User Generated Content and for any consequences of the use of such content by the Company and by third parties.

  • Identifiers: during your use of the Site and/or the Hub, we will access, collect, process, monitor and/or remotely store online identifiers, such as Internet Protocol (IP) address or other unique identifiers.
  • Geolocation data: during your visit to the Site and/or Hub we will access, collect, process, monitor and/or remotely store “geolocation data”, including through the collection of IP addresses and other similar information to determine your location for analytics and security purposes. 
  • Technical and Behavioral Information: to the extent that the Technical and Behavioral Information detailed above under Section 2.1 will be linked to or associated with a specific individual then such information will be considered as Personal Information. 
  1. Information from other sources

  • Other Users: we may collect User Generated Content containing Personal Information pertaining to which is uploaded or shared with us by other Users.

  • We may cross-reference your Personal Information with other Personal Information we may have about you. Any Non-personal Information connected or linked to or associated with any Personal Information shall be deemed as Personal Information as long as such connection, linkage or association exists. 
  • We use third-party tracking services and usage logs, to track and analyze data from Users of the Site and Hub and for purposes of security and fraud prevention. We may also use cookies to gather information regarding your use of the Site and Hub and the information for which you searched and accessed.
  • How do we collect information about our Users? 

There are a few main methods we use to collect information: 

  1. We collect information through your entry, connection, access and/or use of the Site and/or the Hub. In other words, when you access or use the Site, we are aware of your usage of the Site, and may gather, collect and record the information relating to such usage. For example, when you use the Site or Hub, we gather your Technical and Behavioral Information. 

  2. We collect information which you provide us voluntarily. For example, we collect Personal Information that you provide via the “Contact Us” form on our Site and other forms on our Site 

  • What are the purposes of the collection and processing of information? 

    1. Non-personal Information is processed in order to:   

  • Enhance the User’s experience on the Site and/or the Hub;
  • Create statistical information and learn about the preferences of Users and general trends on the Site (e.g. understand which features are more popular than others); and
  • Keep the Site and/or the Hub safe and secured against fraudulent and criminal activity.
  1. Personal Information is processed in order to

  • Enable the operation and constant improvement of the Site and/or the Hub and/or Services;
  • Formulating, customizing and enhancing the User’s experience on the Site and/or the Hub;
  • Send push notifications to Users. Users of the Club can deactivate push notification by using their web browser/device’s settings; 
  • Verify the User’s identity when they sign into the Hub;
  • Determine the User’s geo-location to safeguard the Site and/or the Hub;
  • Register your interest in our products and services;
  • Add your contact details to our mailing list for the purposes of sending you information about our products and services by email, SMS, phone or through web-browser notification. You have the right to opt-out of marketing messages at any time by following the instructions in such messages or by contacting us at: [email protected]
  • Enable our third-party advertising service providers to present you with HI – CENTER ‘s advertisements on websites and platforms across the Internet and across devices. You may opt-out from such advertising activities by following the directions detailed below; 
  • Personalize your experience on the Site and/or the Hub;
  • Ensure that content on the Site and/or the Hub is presented in an optimal way for you and for your device (e.g. tablet, mobile phone);
  • Conduct internal operations, such as: troubleshooting, data analysis, testing, research, and statistical analysis;
  • Keep the Site and/or the Hub safe and secured against fraudulent and criminal activity;
  • Comply with our legal obligations and provide us with the ability to protect our rights and legitimate interests; 
  • To conduct internal research;
  • Maintain our data processing records and general administrative purposes; and
  • Email tracking – we may use tracking technology within the email we may send you in order to improve interactions with you and to better understand whether our emails were opened and read, and such tracking may include capturing the time and date in which you opened our email messages and the type of device you use to open such emails. 
  • Sharing Personal Information with Third Parties

    1. HI – CENTER  respects your privacy and will not disclose, share, rent, or sell your Personal Information to any third party, other than as permitted under this Privacy Policy. 

    2. In addition to using the information collected by us for the purposes described under Section 4 above, we may also share your information in the following cases: 

  • HI – CENTER  Personnel and Affiliates: Personal Information that we collect and process may be transferred to or accessed by personnel of HI – CENTER  and its affiliates for the sole purpose of enabling the operation of the Site and to contact you (as detailed in Section ‎4 above). Please note that all HI – CENTER  personnel that will have access to your Personal Information are under an obligation of strict confidentiality with respect to such Personal Information.  
  • Service Providers: we share Personal Information with vendors, commercial software providers, consultants and data processors who perform services on our behalf, including without limitation, companies that provide analysis, messaging services and services which host the Site and/or the Hub. Please note that we collect, hold and manage your Personal Information through a third party’s cloud based services, as reasonable for business purposes, which may be located in countries outside of your jurisdiction. For more information regarding our Service Providers, please refer to Section 10 below. 
  • Other Users: we may share your Personal Information with other Users for the purpose of facilitating an initial introduction between Startups and Investors and otherwise effectuating the purpose of the Hub and providing the Services. For example, when an Investor designates a certain Startup as point of interest for an investment, we may share with such Startup information about such Investor. We are not liable or responsible for and we cannot and will not monitor the way other Users use such Personal Information. 
  • In addition, we may share Personal Information in the following cases: (a) to satisfy any applicable law, regulation, legal process, subpoena or governmental request; (b) to enforce this Privacy Policy or any other agreement or terms of service between you and HI – CENTER , and to defend against any claims or demands asserted against us by you or on your behalf; (c) to detect, prevent, or otherwise address fraud, security or technical issues; (d) to protect the rights, property, or personal safety of HI – CENTER , its Users or the general public; and (e) when HI – CENTER  is undergoing any change in control, including by means of merger, acquisition or purchase of all or substantially all of the assets of HI – CENTER  (while such acquired company or investor may be located in countries outside of your jurisdiction); (f) to respond to claims that contact information (e.g. name, e-mail address, etc.) of a third-party has been posted or transmitted without their consent or as a form of harassment;  or (g) pursuant to your explicit approval prior to the disclosure.
  1. For avoidance of doubt, HI – CENTER  may transfer and disclose Non-personal Information to third parties at its discretion including without limitation for statistical, analytical and research purposes and for customization, developing and improvement of our Site and/or the Hub.

  • Your Rights

HI – CENTER acknowledges you have the right to access and change the Personal Information we collect and process. If you wish to access or to correct, amend, or delete Personal Information, please send us an email to: [email protected] and we will respond within a reasonable timeframe, but in any event no later than permitted by applicable law. 

  • International Data Transfer

We may transfer information collected about you, including Personal Information, to affiliated entities, or to other third party service provides (as provided herein) across borders and from your country or jurisdiction to other countries or jurisdictions around the world. Please note that we may transfer such information to a country and jurisdiction that does not have the same data protection laws as your jurisdiction, and you consent to such transfer of information. Any transfer of data will be in accordance with the safeguards permitted under applicable privacy laws.

  • Cookies and Tracking Technologies 

When you access or use the Site and Hub, we and/or our third party service providers may use industry-wide technologies such as cookies, web beacons, pixels, clear gifs and other similar tools (or other similar technologies) (collectively, “Cookies”) which may enable us, amongst others, to recognize your device from those of other Users of the Site, to improve the Site/Hub’s performance, to deliver a better and more personalized service according to our Users’ individual interests and the device or browser used, to track Users’ use of the Site, to gather information about the Users’ approximate geographic location (e.g. city), to prevent fraud and/or abuse, to estimate our audience size and usage pattern and perform other analytics, to develop our Site and to serve targeted advertisements.  

Cookies may locally store certain Technical and Behavioral information and other Personal Information on your device and we and/or our authorized third party service providers may access such information for the purposes detailed under this Privacy Policy. We and/or our authorized third party service providers may use both session Cookies (which expire once you close the web-browser) and persistent Cookies (which stay on the User’s device until he/she deletes them).

The Site and/or the Hub are intended for Users over the age of sixteen (18). Therefore, HI – CENTER  does not intend and does not knowingly directly collect any Personal Information from children under the age of sixteen (18) and does not wish to do so. We reserve the right to request proof of age at any stage so that we can verify that minors under the age of sixteen (18) are not using the Site and/or the Hub. 

  • Third Party Service Providers 

      1. During your visit to our Site and Hub, we may use third party service providers, who may collect, store and/or process your information, as detailed in this Privacy Policy.

      2. Please read such third party service providers’ terms of use and privacy policies to understand their privacy practices.

      3. Note, that we collect, hold and/or manage your Personal Information through HI – CENTER ‘s authorized third party vendors of certain products or services (such as hosting cloud services) (including, as applicable, their affiliates) solely and limited to providing us with such requested services, and not for any other purposes. 

      4. Such vendors may be located in countries that do not have the same data protection laws as the laws applied in your jurisdiction. 

      5. Such third parties service providers may include without limitation the following categories of service providers: Hosting\storing providers, Analytics services, CRM management platforms, marketing interfaces. 

  • Commercial Materials

You hereby agree that we may use your contact details you provided us with (including, without limitation, e-mail address) for the purpose of providing you commercial and/or non-commercial materials related to our current and/or future activities and/or products. You may withdraw your consent by sending a written notice to [email protected] or alternatively follow the instructions for removing yourself from the mailing list which are available in the message transmitted to you.

  • Links to Third Party Websites 

Certain links provided in the Site and Hub may permit Users to leave our Site and/or Hub and enter other sites or services. Those linked sites and services are provided solely as a convenience to you. Those linked sites and services are not under the control of HI – CENTER and it is not responsible for the availability of such external sites or services, and does not endorse and is not responsible or liable for any content advertising, products, services or other information on or available from such linked sites and services or any link contained in a linked site or service. HI – CENTER reserves the right to terminate any link at any time. You further acknowledge and agree that HI – CENTER shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such linked sites or resource.

Most of such linked sites and services provide legal documents, including terms of use and privacy policy, governing the use thereof. It is always advisable to read such documents carefully before using those sites and services, inter alia, in order to know what kind of information they are collecting.

  • Security 

We take reasonable measures to maintain the security and integrity of our Site and prevent unauthorized access to it or use thereof through generally accepted industry standard technologies and internal procedures. HI – CENTER  reserves the right to change this Privacy Policy at any time, so please re-visit this page frequently to check for any changes. In case of any material change, we will make reasonable efforts to post a clear notice on the Site and/or the Hub or we will send you an e-mail regarding such changes to the e-mail address that you may have provided us with. Such material changes will take effect seven (7) days after such notice was provided on our Site and/or the Hub or sent to you via e-mail, whichever is the earlier. Otherwise, all other changes to this Privacy Policy are effective as of the stated “Last Revised” and your continued use of the Site and/or the Hub on or after the Last Revised date will constitute acceptance of, and agreement to be bound by, those changes. Individual Accreditation

  1. Liquid Assets: You own liquid assets (including stocks, bonds, mutual investment funds, and ‘kranot hishtalmut’) worth over NIS 8,364,177.
  2. Annual Income: Your annual income for each of the previous two years exceeds NIS 1,254,627.
  3. Liquid Assets and Annual Income: You own liquid assets worth in total more than NIS 5,227,610, and your annual income for each of the previous two years is at least NIS 627,313.

Joint Accreditation with Spouse

  1. Joint Annual Income: Your joint annual income for each of the previous two years is over NIS 1,881,940.
  2. Liquid Assets and Joint Annual Income: You own liquid assets worth in total more than NIS 5,227,610, and your joint annual income for each of the previous two years exceeds NIS 940,969

 

Corporate Accreditation

1. Equity Requirement: The investor is an entity with equity exceeding NIS 50,000,000 (excluding entities formed solely for purchasing securities in a specific offering).

2. Qualified Investor Ownership: The investor is an entity fully owned by entities and/or individuals who meet the Qualified Investor criteria specified in Art. 15A(b)(1) and Schedule 1 of the Securities Law. Each shareholder (individual or entity) must complete Investor Qualification Forms to verify their eligibility.

3. Israeli Entity Classification: The investor is one of the following entities organized under the laws of Israel:

a. Portfolio Manager: A portfolio manager as defined in the Regulation of Investment Advice, Investment Marketing, and Investment Portfolio Management 5755-1995, purchasing for themselves or on behalf of clients who are investors listed in section 15A(b) of the Securities Law.

b. Investment Advisor: An investment advisor as defined in the Regulation of Investment Advice, Investment Marketing, and Investment Portfolio Management 5755-1995, or an investment marketing agent purchasing for themselves.

c. Underwriter: An underwriter satisfying the conditions set forth in Section 56(c) of the Securities Law, purchasing for themselves.

d. Joint Investment Fund: A joint investment fund or its managing company as defined in the Joint Investment Trust Law 5754-1994.

e. Provident Fund: A provident fund or its managing company as defined in the Regulation of Financial Services (Provident funds) Law 5765-2005.

f. Venture Capital Fund: A venture capital fund, which is a corporation primarily engaged in investing in research and development or the manufacturing of innovative and hi-tech products or processes, where the investment risk is higher than customary for other investments.
